Terms of Service

Please read these Terms of Service ("Terms") carefully before using the SHBS software platform, related applications, and associated services (collectively, the "Services") operated by Silicon Harbor Business Services, Inc. ("Company," "we," "us," or "our").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
1. Acceptance of Terms
By creating an account, purchasing a license, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.
If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.
1.1 U.S.-Only Availability
The Services are offered solely to individuals and entities located in the United States. By accessing or using the Services, you represent and warrant that you are located in the United States and will not access or use the Services from outside the United States.
2. Description of Services
SHBS operates a software platform that hosts and delivers specialized business applications. These applications may integrate with third-party systems and are designed to assist with operational, financial, or administrative workflows.
One such application is Charles, which connects payment processors (such as Stripe and Authorize.net) to QuickBooks Online and facilitates reconciliation workflows, including:
- Importing payout and transaction data from connected payment processors
- Matching transactions to existing payments in QuickBooks Online
- Creating deposits in QuickBooks Online corresponding to processor payouts
- Recording processor fees as part of the reconciliation process
The Services are tools designed to assist with bookkeeping and operational tasks. They do not constitute accounting, tax, legal, or financial advice.
3. Account Registration
To use the Services, you must create an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
You may not share your account credentials or permit unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Licenses and Subscriptions
License Structure
Access to SHBS applications requires a valid license. Each license corresponds to a specific application and, where applicable, a specific connected entity (such as a QuickBooks Online company).
Licenses are time-limited and grant access for a fixed duration only. License types may include:
- Free Trial: A limited-duration trial license, restricted to one trial per user or entity, at our sole discretion
- Monthly License: A time-limited license that must be renewed for continued access
- Annual License: A longer-duration license that must be renewed for continued access
License Terms
Licenses are non-transferable and may only be used by the account holder who purchased them. License validity begins upon first activation or connection, as defined by the applicable application.
Unused licenses do not expire until activated; however, unused licenses must be activated within a reasonable period and may be revoked if the associated account becomes inactive or is terminated.
License Expiration
When a license expires, all access to the applicable Services is disabled. There is no grace period, read-only access, or partial functionality after expiration. Continued use of the Services requires an active, unexpired license at all times.
5. Payment and Billing
License fees are charged at the time of purchase and are quoted in United States Dollars (USD).
You agree to provide accurate billing information and authorize us to charge the applicable fees to your selected payment method.
Refund Policy
Licenses are non-refundable. We encourage use of any available trial period to evaluate the Services before purchasing. If technical issues prevent use of the Services, please contact us to discuss possible remedies.
6. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate applicable laws or regulations
- Attempt to gain unauthorized access to the Services or related systems
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or disassemble any part of the Services
- Transmit malicious code or harmful content
- Resell, sublicense, or redistribute access without authorization
- Use the Services to process data for entities not covered by your license
7. Intellectual Property
The Services, including all software, content, trademarks, and related intellectual property, are owned by Silicon Harbor Business Services, Inc. or its licensors.
These Terms do not grant you ownership rights in the Services. You retain ownership of your data. You grant us a limited license to process your data solely as necessary to provide, maintain, and improve the Services.
8. Data and Privacy
Our collection and use of personal information are governed by our Privacy Policy.
You are responsible for ensuring you have the necessary rights and permissions to provide data to the Services, including data accessed from third-party platforms.
9. Third-Party Integrations
The Services may integrate with third-party platforms, including QuickBooks Online, Stripe, and Authorize.net. Your use of those services is governed by their respective terms.
We are not responsible for the availability, accuracy, or continued functionality of third-party services. Changes to third-party APIs may affect the Services.
QuickBooks is a trademark of Intuit Inc. SHBS and its applications are not affiliated with or endorsed by Intuit Inc.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee uninterrupted operation, error-free performance, or absolute security. Outputs generated by the Services must be reviewed and verified by you before reliance.
Pilot Support Disclaimer
During pilot or early-access phases, the Services are provided on a best-effort basis with no guaranteed support response times or service levels unless agreed in writing.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR VIOLATIONS OF LAW, IN NO EVENT SHALL SILICON HARBOR BUSINESS SERVICES, INC. BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless Silicon Harbor Business Services, Inc. from claims arising out of:
- Your use of the Services
- Your violation of these Terms
- Your violation of applicable laws or third-party rights
- Data you provide to or process through the Services
13. Termination
You may stop using the Services at any time. We may suspend or terminate access if we reasonably believe these Terms have been violated.
Upon termination, access to the Services ceases immediately. Provisions that should survive termination shall survive.
14. Changes to Terms
We may modify these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law and Venue
These Terms are governed by the laws of the State of South Carolina. Any disputes shall be resolved exclusively in the state or federal courts located in Charleston County, South Carolina.
16. General Provisions
Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement.
Severability: Invalid provisions do not affect enforceability of remaining terms.
Waiver: Failure to enforce is not a waiver.
Assignment: You may not assign without consent. We may assign freely.
